The Invst 2025 Sweepstakes (the "Sweepstakes") is sponsored by Invst LLC, a Registered Investment Advisor (RIA), with its principal place of business in Indianapolis, IN ( “Sponsor” or “INVST”). The Sweepstakes is designed to engage clients, prospects, and their networks in a compliant manner, consistent with SEC marketing rules and the Investment Advisers Act of 1940.

1. Eligibility

At the time of entry, you must be age 18 or older and a legal U.S. resident. Void where prohibited. Residents of Rhode Island and employees of INVST or the prize sponsor or its affiliates, including all of their respective immediate family or household members, are not eligible.

2. Agreement to Rules

By entering, you confirm you meet all eligibility requirements and agree to abide by these Official Rules & Disclosures. All Sponsor decisions are final. Nothing in this Sweepstakes constitutes investment advice, a recommendation, or an offer to buy or sell securities.

3. Sweepstakes Period

The entry period runs from December 16, 2025 at 9:00 AM ET through December 31, 2025 at 12:00 PM ET. Online entries must be submitted by December 30, 2025 at 11:59 PM ET. A random drawing will occur on or about December 31, 2025.

4. How to Enter

Enter by completing the online entry form and providing:

Optional fields (including referrals) do not affect your chances of winning. Referral information may prompt additional questions from INVST to ensure compliance with SEC rules. You may enter only once. To enter without subscribing to marketing emails, email Info@invst.com with your name, address, phone number, and subject line: “2025 Invst Sweepstakes Entry.”. Incomplete or non-compliant entries may be disqualified.

5. Prizes

One winner will receive two (2) prizes:

(1) Indianapolis Colts Rookie Tight End Autographed Wilson Duke Full Color Football (ARV: $369)

(1) Indianapolis Colts Rookie Tight End Autographed Ridelle Speed Replica Helmet (ARV: $349)

Total ARV of all prizes: $718

Prizes cannot be exchanged, transferred, or redeemed to Sponsor for cash. Winner is responsible for any taxes or expenses related to accepting the prize(s), and will be issued a Form 1099 by INVST for the value of the accepted prize(s). Acceptance of the prize permits INVST or its marketing affiliates to use the winner’s name and likeness for legal and regulatory-compliant promotional purposes, unless prohibited by law and in accordance with all applicable SEC Marketing Rules.

6. Odds

Odds depend on the total number of eligible entries received. No purchase, investment, advisory service, or referral is required to enter or win.

7. Winner Selection & Notification

A winner will be chosen randomly on or about December 31, 2025 and notified by email within one (1) calendar day. INVST is not responsible for misdirected or blocked emails.The prize may be forfeited and another winner selected if the winner:

cannot be reached, is ineligible, fails to claim the prize within fourteen (14) calendar days, or does not return required documentation before the deadline communicated.

8. General Conditions

Sponsor may cancel, suspend, or adjust the Sweepstakes if fraud, technical problems, or other issues affect its fairness or integrity. Participants may be disqualified for attempting to tamper with the entry process or for violating these Rules. By entering, you agree to receive periodic communications from INVST. You can unsubscribe at any time. If you submit referral information, that individual may also be contacted with the option to unsubscribe. Providing optional referral information is not deemed an endorsement of INVST.

9. Limitation of Liability

By entering, you release INVST, its affiliates, the prize sponsor, and third party platforms or service providers of the Sweepstakes from liability related to:

participation in the Sweepstakes or use of any prize, technical issues or service outages, unauthorized interference, or administrative or processing errors.

The Sweepstakes does not create or imply an advisory relationship with any participant.

10. Disputes

Governing law: U.S. and Indiana law. All disputes must be handled individually in a court located in Indiana. Participants waive rights to class actions and to punitive or consequential damages.

11. Privacy

Your information will be handled according to the INVST Privacy Policy. Nothing collected through this Sweepstakes will be used to determine eligibility for advisory or other INVST services.

12. Winner List

To request the winner’s name, email us with the subject line: “Please email me the 2025 Invst Sweepstakes winners list.”.

A random drawing for the winner will happen on December 31 at 4p.

We will randomly draw from all entries to award a winner on December 31. The winner will be notified by email and have until January 14 to claim their prize.

Through this policy and its underlying procedures, Invst attempts to secure the confidentiality of customer records and information and protect against anticipated threats or hazards to the security or integrity of customer records and information. It is the policy oflnvst to restrict access to all current and former clients' information (i.e., information and records pertaining to personal background, investment objectives, financial situation, tax information/returns, investment holdings, account numbers, account balances, etc.) to those employees and affiliated/nonaffiliated entities who need to know that information in order to provide products or services in furtherance of the client's engagement oflnvst. In that regard, lnvst may disclose the client's information: (1) to individuals and/or entities not affiliated with Invst, including, but not limited to the client's other professional advisors and/or certain service providers that may be recommended or engaged by Invst in furtherance of the client's engagement oflnvst (i.e., attorney, accountant, insurance agent, broker-dealer, investment adviser, account custodian, record keeper, proxy management service provider, etc.); (2) required to do so by judicial or regulatory process; or (3) otherwise permitted to do so in accordance with the parameters of applicable federal and/or state privacy regulations. Toe disclosure of information contained in any document completed by the client for processing and/or transmittal by Invst to facilitate the commencement/continuation/termination of a business relationship between the client and/or between Invst and a nonaffiliated third party service provider (i.e., broker-dealer, investment adviser, account custodian, record keeper, insurance company, etc.), including, but not limited to, information contained in any document completed and/or executed by the client in furtherance of the client's engagement oflnvst (i.e., advisory agreement, client information form, etc.), shall be deemed as having been automatically authorized by the client with respect to the corresponding nonaffiliated third party service provider. Invst permits only authorized employees and affiliates who have signed a copy oflnvst's Privacy Policy to have access to client information. Employees violating Invst's Privacy Policy will be subject to Invst's disciplinary process. Additionally, whenever Invst hires other organizations to provide services to Invst's clients, Invst will require them to sign confidentiality agreements and/or the Privacy Policy.
